1. Introduction

Welcome to PowerSwop. Powerswop operates under the trade name “FASTAQ” and any reference to FASTAQ shall refer to Powerswop and any reference to Powerswop shall refer to FASTAQ.

Hereinafter the terms “PowerSwop”, “us”, “we”, “the Company”, “the Platform”,“our” and “Fastaq” shall all refer to PowerSwop, with whom you, are contracting. This Agreement is entered into between PowerSwop and you, as a user of PowerSwop, therefore any reference to the terms “you”, “user”, “users” shall mean a user of the PowerSwop platform.

The PowerSwop platform aims to provide a web based international property exchange platform (the “Service”and/or the “Purpose”) which will facilitate the connection between property owners in order to exchange properties between them. You must register an account to access and use many features of our Platform and must keep your account information accurate. Once registered, you will receive a registration number for the specific property you upload. As the provider of the PowerSwop Platform, we do not own, control, offer or manage any Listings and are not a party to the contracts and/or agreements concluded between the exchanging parties nor are we a real estate broker or insurer. PowerSwop is not acting as an agent in any capacity.

The use of this website is governed by these Terms and Conditions. You must read them carefully before accepting them. By accessing or using our services on www.fastaq.com (hereinafter “the Website”) or any other platform or services the Company may offer, you are deemed to have agreed to, and be bound by, these Terms and Conditions.

We reserve the right to modify, amend or change the Terms at any time we deem necessary, per the provisions of these Terms and you are therefore advised to read them regularly.

These Terms and Conditions constitute a legally binding agreement between you and PowerSwop and constitute the whole of the agreement between the Company and you, replacing any previous agreement, whether written or oral.

2. Using PowerSwop/ Account Eligibility

By creating an account with us you declare and undertake that you are eligible to use our Services and you represent and warrant that:

You are at least 18 years old;
You are legally qualified to enter into a binding contract with PowerSwop;
You consent to provide all information requested such as full name, contact details and email address;
You consent to Powerswop providing your basic information to other users of the Platform, solely for the Purpose of the present Agreement.
You consent and accept that PowerSwop has no responsibility for the content uploaded on the Website. Exclusive responsibility, lies solely with the person actually uploading the content;
You consent and agree that PowerSwop does not review users’ postings and does not participate in the actual dealings and/or transactions between the users;
You have not been previously removed from our Services by us, unless you have our express written consent to create a new account.

In addition to the abovementioned prerequisites for using or accessing our Services, you agree that you will not:

Use our services with the intention to violate any laws and/or use of our Services does not violate any laws in your jurisdiction or elsewhere;
Post any threatening, abusive, defamatory or indecent material;
Post inaccuracies or misleading material;
Misrepresent your identity or age;
Copy, modify or distribute any other person’s content without their prior written consent;
Distribute spam or promote pyramid schemes;
Infringe upon any third party’s rights (including, without limitation, intellectual property rights and privacy rights);
Encourage, promote, or agree to engage in any activity that violates these Terms.

We reserve the right at our discretion to refuse or delete content which is deemed to violate the law in any jurisdiction or the present Terms and Conditions, as well as ban a user either for a certain period of time or indefinitely from using our Service.

3. Rules for uploading content & accessing content of other users

PowerSwop is an open international property exchange platform, where users upon registration and provision of their personal information, can upload their properties/listings which will be available for exchange with another registered user of PowerSwop.

It is provided always that to upload a property located in Cyprus, you need to be either the registered owner of the property or alternatively a registered and licensed agent. By uploading a property located in Cyprus on our property exchange platform, you represent and warrant that you are either the owner of the property or a registered and licensed agent and you agree and undertake to provide relevant evidence of your capacity. You acknowledge and agree that you are under an obligation to adduce the relevant title deed or alternatively relevant proof, to our satisfaction, demonstrating that you are the registered owner of the property being uploaded or alternatively relevant proof, to our satisfaction, that you are a registered and licensed agent, authorised to deal with the property in question. We reserve the right to ban or delete your account, if the above provision is not adhered to. If the present condition is pertinent to any other jurisdiction, we reserve the right to request that you provide us with evidence of proprietary ownership and/or relevant proof that you are a registered and licensed agent, before posting properties situated in such other jurisdictions.

PowerSwop tries to ensure that all the information provided through the advertisements/ uploads is accurate but has no responsibility to guarantee that any content is true, complete or verified. Therefore, you agree to indemnify, defend, release and hold us harmless from any claims made in connection with your uploads/advertisements.

You and other users are solely responsible for the accuracy of the information you choose to upload on PowerSwop in relation to the following:

personal information (including name, email, contact details etc);
Information concerning the property uploaded and/or advertised;
Information provided to other users following their introduction by the platform providers, when any sort of interaction is limited between the two users and the platform providers are no longer involved in any discussions as for the exchange process.

Other users will also upload/ advertise the properties they are willing to exchange. You do not have any rights in relation to the uploads of other users. You may view other advertisements/ uploads by other users if you are registered but you can only access that user’s contact details if you pay the agreed Fee as stated herein these Terms, to PowerSwop who shall then disclose to you the contact details of the user who owns the property you are interested in.

Your correspondence or business dealings with other users found on or through PowerSwop, including but not limited to delivery of properties, and any other terms, conditions, warranties or representations in relation to such dealings, are solely between you and such other user and PowerSwop is not involved in any way, nor are we a party to such dealings.

4. Fees and/or other charges

There are no fees or other charges for the registration of properties on the PowerSwop web platform. The company however reserves the right at any time in the future to charge you fees for registration of properties and/or to charge fees for the registration of bulk properties and/or the registration of “VIP” properties.

There are no fees or other charges to receive information regarding other users, such as, but not limited to personal information (including name, email, contact details etc) and information concerning properties uploaded and/or advertised on the PowerSwop platform. The company however reserves the right at any time in the future to charge fees for sharing with you information regarding other users such as, but not limited to personal information (including name, email, contact details etc) and information concerning properties uploaded and/or advertised on the PowerSwop platform.

5. Reporting Violations:

PowerSwop and its users collectively aim to keep PowerSwop working properly and ensure its safety is preserved. Therefore, you are kindly requested to report any violations to the present Terms and/or any prohibited content uploaded by other users.

We may take any measures we deem necessary, such as issue warnings, remove, delete, limit or edit content and/or ban or block users from using PowerSwop if we suspect that they are acting inconsistently or violating the present Terms and Conditions.

However, you agree that we are not obliged to do so, nor do we accept any liability for unauthorized or unlawful content uploaded on PowerSwop or concerning the use of PowerSwop by other users.

6. Privacy:

More information on how PowerSwop collects, uses and shares your personal information can be found in our Privacy Policy. By using our Services, you unequivocally agree that we may collect and process your personal information in conformity with our Privacy Policy.

7. No criminal background or identity verification checks:

You understand that PowerSwop does not conduct criminal background or perform identity verification checks on its users.

Thus, PowerSwop makes no representations or warranties as to the conduct, identity, intentions and/or legitimacy of its users. Although PowerSwop works hard to create a respectful and safe user experience, you agree that we are neither liable nor responsible for the conduct of any user on or off the Platform. Therefore, you are encouraged to use caution in your interactions with other users.

8. Account Termination:

You are free to delete your account at any time by following the instructions to disable or delete your account.

You agree that PowerSwop may suspend or terminate your account if found in violation of these Terms and Conditions. We reserve the right, inter alia, to prevent you from using our Services should you act in such a way and you agree that we need not provide you with a prior notice.

If your account is terminated either by your choice or by PowerSwop for any reason, these Terms shall remain enforceable and your information shall be maintained and deleted in conformity with our Privacy Policy.

9. Disclaimer:

We provide the PowerSwop Platform and all content on an “as is” basis. We grant no warranties of any kind, whether express or implied, with respect to our services. Your use of our website and services is conducted at your own risk. In specific and without prejudice to the above , (i) we do not warrant the legality and/or bona fide intentions of any User or property or Listing; (ii) we do not warrant that you will enjoy uninterruptedly the PowerSwop Platform; (iii) we do not warrant that any content or information made available through but not directly by PowerSwop will be accurate.

Moreover, any interaction and/or correspondence and/or subsequent dealing or transaction between yourself and another User is made solely between yourself and that other User. PowerSwop is by no means involved in any such dealings, neither as a party nor as an agent. The sole purpose and role of PowerSwop is to introduce different Users of the Platform between them who wish to proceed with a potential property exchange. Any interaction and/or dealing and/or transaction thereafter is made solely between the Users.

You agree that once registered, PowerSwop can freely disclose the contact details you have provided us with to any other user of PowerSwop, for the purpose of introducing you to other potentially interested in your listing/property user, and you shall not hold us liable for disclosing such information.

10. Limitation of Liability:

To the extent legally permitted by law, PowerSwop, its affiliates, employees or service providers shall not be held liable for any loss, howsoever arising, including, inter alia, loss of profits, or any loss of data, use, goodwill or other loss arising out of your use, or access of our services or in connection with the conduct or content of other users or third parties, on, through or following use of our services.

Users are solely responsible for their dealings and transactions and such dealings and transactions are binding solely on those Users. PowerSwop does not become a party nor does it participate in any agreement between the Users, neither as party nor as agent in any way.

Therefore, you agree that you shall not hold PowerSwop liable for any claims arising out of or in connection with an agreement you concluded with another user.

11. Indemnification:

You agree to indemnify PowerSwop and any employees, services providers, and agents, harmless from, inter alia, any claims and/or losses, arising out of or in connection with any breach of these Terms or our Policies, your interaction with any other User of the Platform, including, without limitation, any losses or damages of any kind arising in connection with or as a result of such interaction, agreement, transaction or dealing.

12. Dispute Resolution:

Should a dispute arise between you and PowerSwop, you are encouraged to try to resolve such dispute by initially contacting us. We will use our best endeavors to resolve the dispute through alternative dispute resolution procedures, including mediation or arbitration, as opposed to litigation.

13. Governing Law:

The interpretation, construction, effect and enforceability of this Agreement shall be governed by the Laws of the Republic of Cyprus and you agree to submit to the exclusive jurisdiction of the Cyprus courts to determine the disputes.

14. Entire Agreement:

These Terms, along with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and PowerSwop regarding the use of our services. The Terms supersede all previous agreements, representations and arrangements between us, whether written or oral.

15. General

If any provision of these Terms and Conditions, is declared to be invalid, void or for any other reason unenforceable, such provision shall be deleted and shall not affect or impair the validity and enforceability of the remaining provisions.

We reserve the right, from time to time as deemed necessary, to modify or update these Terms and Conditions. Please check these Terms regularly to ensure that you understand and comply with the Terms that apply at the time.
